Just because the 49ers and Broncos are overrated doesn't mean they won't win their divisions. Just don't see either team making a ton of noise in the playoffs this year.
Why are the 49ers overrated Wine? I realize you are going to be more critical of them than anyone, but they basically return the same team that nearly won the NFC.

I'd say that the expectations laid upon them right now are to be a top 2 or 3 team in the NFC or even the NFL. I don't think they're that team yet.
Young offensive line that will struggle to keep it together throughout the season. Alex Boone is growing into that RG spot and he could need replacing at some time throughout the season.
Frank Gore is a year older and I'm not entirely sold on Hunter as a guy who can take a load nearly as big as Gore's. Hunter and James seem to be the committee of the future, but I am not too optimistic about the two of them being able to execute the Harbaugh running game and its style of play.
Alex Smith. I honestly believe that if he has another leap like he had last year, the 49ers are the team to beat in the NFL, but I don't think he does that.
Depth is another issue. Just lost Parys Haralson to IR, and they were so lucky with injuries last year that I have to think lightning doesn't strike twice. They can't have another 10+ win season without the Smiths, Rogers, Goldson, etc.
